Terms & Conditions

About these Terms

These Terms apply to frenchfrystudio.com and to French Fry Studio Dash (“Dash”), our client portal, both operated by French Fry Studio LLC (“French Fry,” “we,” “us”). By using the website or Dash, you agree to these Terms. If you use them on behalf of a business, you confirm you are authorized to accept these Terms for that business, and “you” includes it.

Our services are offered to businesses. You must be at least 18 years old to use Dash. The website, Dash, and everything we make, including text, designs, logos, code, and other materials, belong to French Fry Studio LLC or its licensors and may not be reused without permission.

Client services

The scope, deliverables, fees, billing, service term, cancellation rights, and handoff obligations for paid services are set out in your separate written service agreement, statement of work, or order form. If those documents conflict with these Terms, the applicable signed agreement controls. These Terms do not create or change a paid subscription or fixed-term commitment.

Information on our website, including plans and prices, is general information and does not constitute an offer or a commitment to deliver a particular project, result, or feature.

Dash access and ownership

When included in your service agreement, we grant your business a limited, non-exclusive, non-transferable right for its authorized users to access Dash for internal business purposes during the applicable service term. Access is limited to the seats and permissions provided for your account.

French Fry Studio LLC and its licensors retain all rights in Dash, including its software, interface, designs, documentation, reusable tools, underlying technology, and improvements. Paying for services or receiving access does not transfer ownership of Dash or entitle you to its source code, hosted systems, or a separate copy of the software.

Any ownership of, or right to use, a website or other deliverables that your service agreement gives you does not include Dash. Third-party materials remain subject to their own licenses.

Your content and deliverables

You retain ownership of the content and data you provide, such as your name, logo, text, images, and business information. Everything we create in delivering the services, including website designs, code, and other work, is owned by French Fry Studio LLC, and you receive the right to use it for your business for as long as your service agreement provides, unless that agreement expressly says otherwise. We may use your materials only as reasonably needed to provide, support, and secure the agreed services and comply with applicable law. We do not use your content or data to train artificial intelligence models.

You must have the rights and permissions needed for the materials, data, and instructions you provide. Do not submit highly sensitive personal information or credentials through ordinary messages or support requests; arrange an appropriate transfer method with us first.

Your right to use client-specific reports does not grant ownership of the software or interface used to produce them. If you send us suggestions or feedback, we may use them without obligation to you.

Account security and acceptable use

Keep account access confidential, use only authorized accounts, and notify us promptly of suspected misuse. Each named seat is for one individual unless otherwise agreed.

You must not:

  • Copy, sell, sublicense, redistribute, or commercially exploit Dash or our protected materials beyond the rights expressly granted to you.
  • Reverse engineer or attempt to extract Dash’s source code, except where applicable law permits this despite a contractual restriction.
  • Bypass access controls, access another client’s information, introduce malicious code, or disrupt the services.
  • Use automated tools to extract non-public information without written permission.
  • Use our confidential information or non-public materials to reproduce Dash or build a competing service.
  • Use the services unlawfully or infringe another person’s rights.

These restrictions do not prevent independent development without misuse of our intellectual property or confidential information.

Confidential information

Non-public technical, business, and security information made available through the relationship must be used only to provide or receive the services and protected with reasonable care. It may be shared with authorized colleagues and professional advisers who need it and are subject to appropriate confidentiality duties.

This does not cover information lawfully known without restriction, independently developed, lawfully obtained from another source, or public through no breach. Legally required disclosures are permitted, with advance notice where lawful. Nothing prevents reporting unlawful conduct or exercising a protected legal right.

Availability, reports, and third parties

Dash features and third-party connections may change. Reports, estimates, and recommendations may contain delays or inaccuracies and should be reviewed before business decisions are made. We do not guarantee particular search rankings, traffic, sales, or uninterrupted availability. Links to other websites are provided for convenience; we are not responsible for their content.

Except for express commitments in your signed service agreement, and to the extent permitted by law, the public website and Dash are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Suspension, termination, and exports

We may restrict access when reasonably necessary to address a security threat, unlawful conduct, or a material breach. We will give notice and a reasonable opportunity to resolve the issue where practicable. Payment-related suspension follows your service agreement.

Dash access normally ends with the associated recurring service. If you request an export before service ends or within 30 days afterward, we will provide a reasonable export of available client-specific reports and request history in a commonly used format. Exports exclude Dash software and its interface. Your service agreement controls what happens to your website at the end of the service, including any handoff.

Liability

To the maximum extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, punitive, or consequential damages, including lost profits, revenue, goodwill, or data.

Each party’s total liability under these Terms is limited to the fees paid or payable for the affected services during the six months before the event giving rise to the claim, or US $100 if the affected service was provided free of charge.

These exclusions and limits do not apply to payment obligations, confidentiality breaches, infringement or misuse of the other party’s intellectual property, fraud, gross negligence, willful misconduct, or liability that cannot legally be limited. A signed service agreement controls liability for services covered by that agreement.

Privacy and changes

Our Privacy Policy explains our information practices. Accepting these Terms does not itself provide consent for optional tracking or other processing that requires separate consent.

We may update these Terms prospectively and will change the effective date above when we do. We will give Dash account holders at least 30 days’ advance notice of material changes, except changes required sooner by law or to address an urgent security issue, and obtain renewed acceptance where required. Updates do not amend a signed service agreement without the agreement required by that document.

Governing law and contact

Except where mandatory law requires otherwise, Delaware law governs these Terms, and disputes will be heard in the state or federal courts serving Kent County, Delaware. A different governing-law or venue provision in your signed service agreement controls for that agreement.

If a provision is unenforceable, the remaining provisions continue in effect. Ownership, confidentiality, payment obligations, and liability provisions survive termination to the extent their purpose requires. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of our business.
